Payment Terms

These B2B Order & Payment Terms (“Terms”) apply to purchases of redteamer software licences by business customers and form part of the contract between you and RedTeamer Ltd (“redteamer”, “we”, “us”). By submitting a purchase request or paying an invoice, you agree to these Terms. Use of the software is governed by the Licence Agreement.


Scope

These Terms cover commercial and payment matters for your order. If there is any conflict between these Terms and the EULA, the EULA governs licence scope and product use.

Ordering Process

Place orders by submitting a purchase request (via our Purchase link or support portal). We will issue an invoice. An order is accepted when we confirm in writing or when payment is received, whichever occurs first.

Pricing & Taxes

Prices are stated in GBP and are exclusive of VAT and any applicable sales/use/withholding taxes, duties, or bank charges. You are responsible for such amounts in addition to the licence fees. Where withholdings apply, you will gross-up so we receive the amounts invoiced.

Payment

Payment is by bank transfer to the Wise Business account stated on the invoice. Payment timing is as shown on the invoice (unless otherwise agreed). You are responsible for your bank/transfer fees.

Delivery & Activation

Delivery is electronic. Licence entitlements are activated (or keys issued) once payment is received and any onboarding information has been provided. Use of the software is subject to the EULA.

No Services

Licences include product updates and ticketed support via our Jira Service Management portal. No professional services, training, or consulting are included unless separately agreed in writing.

Cancellations & Refunds

Orders placed by business customers are firm. Except as required by law or expressly stated in the EULA, fees are non-refundable. If a refund is issued, the corresponding licence entitlement terminates.

Late Payment

We may charge statutory interest and recover reasonable costs under the UK Late Payment of Commercial Debts (Interest) Act 1998 (as amended). We may suspend delivery/activation for overdue amounts.

Compliance & Export

You will comply with applicable laws, including export control and sanctions, and will not use the software in violation of such laws.

Liability & Warranties

Disclaimers and limitations are as set out in the EULA.

Governing Law & Jurisdiction

These Terms and any non-contractual obligations are governed by the laws of England and Wales, with the courts of England and Wales having exclusive jurisdiction.

Entire Agreement

These Terms, together with the License Agreement and the invoice, form the entire agreement for your order.
